These Terms and Conditions ("Terms") govern your use of the website, platform, and services provided by Studio by Kallie Rachelle, operating under Empowering Authentic Growth ("Company," "we," "us," or "our"). By accessing our website, platform, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

Studio by Kallie Rachelle provides website design and development, brand identity design, CRM and marketing automation services, platform access and management, SEO services, and related creative and digital services (collectively, the "Services"). The specific scope of Services for each engagement will be outlined in a separate proposal, estimate, or agreement.

2. Acceptance of Terms

By submitting a form, signing a proposal, making a payment, or accessing our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

3. Payment Terms

All fees for Services are outlined in your project proposal or estimate. The following payment terms apply:

• A deposit of 50% of the project total is required before work begins, unless otherwise agreed in writing
• Remaining balance is due upon project completion and before final files or access are delivered
• Monthly subscription fees are billed in advance and are non-refundable once the billing cycle has begun
• All payments are processed through PayPal or such other payment processors as we may designate
• Invoices not paid within 14 days of the due date may result in suspension of services
• Platform usage fees including SMS, email sends, phone calls, and AI interactions are billed monthly at cost and are separate from service fees

4. Revisions and Scope

Each project includes three (3) revision rounds unless otherwise specified in the project proposal. A revision round is defined as one consolidated batch of feedback submitted in a single communication. The following terms apply:

• Additional revision rounds beyond those included are available at $111 per round
• Revisions must be submitted as a single, consolidated document or email — not as individual requests over time
• Changes to the original project scope will be quoted and billed separately and do not count as revision rounds
• Approved work that is later changed at the client's request may result in additional charges

5. Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide all required content, assets, and information in a timely manner
• Designate a single point of contact for project communications
• Respond to requests for feedback or approvals within 5 business days
• Ensure that all content and materials you provide do not infringe on any third-party intellectual property rights
• Maintain the confidentiality of any platform login credentials provided to you

6. Intellectual Property

Upon receipt of full payment, you will own the final deliverables created specifically for your project. We retain ownership of all preliminary concepts, unused designs, proprietary tools, templates, and methodologies used in delivering the Services.

We reserve the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing prior to project commencement.

7. Platform Access

Monthly platform subscriptions provide access to our white-labeled GoHighLevel platform. The following terms apply:

• Platform access is provided on a month-to-month basis and may be cancelled with 30 days written notice
• We reserve the right to modify platform features, usage limits, or pricing with 30 days notice
• Cancellation does not entitle you to a refund of the current month's subscription fee
• Upon cancellation, you will retain access through the end of the paid billing period
• We are not responsible for data loss upon account cancellation — we recommend exporting your data before cancelling
• Included monthly usage (SMS, call minutes, emails) does not roll over to the following month
• Overage packs are available for purchase and apply to the current billing month only

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the Services.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Studio by Kallie Rachelle and Empowering Authentic Growth shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability to you for any claim arising from the Services shall not exceed the total amount paid by you for the specific Services giving rise to the claim in the three months preceding the claim.

10. Warranties and Disclaimers

We provide our Services in a professional and workmanlike manner consistent with industry standards. However, we make no warranties, express or implied, regarding specific business outcomes, website rankings, lead generation results, or revenue generation. Results vary based on numerous factors outside our control.

11. Termination

Either party may terminate a project or service engagement with written notice. In the event of termination:

• You are responsible for payment of all work completed to the date of termination
• Deposits are non-refundable once work has commenced
• We will deliver all completed work product upon receipt of final payment for work performed

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising from these Terms or the Services shall be resolved in the courts of Tarrant County, Texas.

13. Dispute Resolution

Before initiating any legal action, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If resolution cannot be reached, disputes may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, or internet outages.

15. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or posted on our website. Your continued use of our Services after changes are posted constitutes acceptance of the updated Terms.

16. Entire Agreement

These Terms, together with any project proposal, estimate, or service agreement, constitute the entire agreement between you and Studio by Kallie Rachelle with respect to the Services and supersede all prior communications and agreements.
